SHEMAÏA — GENERAL TERMS AND CONDITIONS OF ONLINE SALE

Preamble
The Name SAS, a simplified joint-stock company (société par actions simplifiée), trading as Shemaïa, with registered office at 60 Rue François Ier, 75008 Paris, France, registered on the Paris Register of Trade and Companies (R.C.S. Paris) under number 925 311 698, intra-community VAT number: FR67925311698 (hereafter "Shemaïa" or "we"), designs and sells items of jewellery under the Shemaïa brand (the "Brand").
Shemaïa operates a remote sales system for its collection (hereafter the "Items") via its website accessible at https://shemaiajewels.com/ (hereafter the "Website").
Items sold on the Website may be shipped to the following locations: all European Union member states, the United Kingdom, Switzerland, Monaco, the United States of America, Canada, Brazil, Israel, and Australia (hereafter the "Shipping Region").

1: Scope of application
These general terms and conditions of online sale (the "GTS") apply to all sales of Items made on the Website by natural or legal persons acting solely as consumers (hereafter the "Customer(s)").
Any purchase of Items on the Website implies the Customer's full and unreserved acceptance of these GTS. At the time of placing an order (hereafter an "Order"), the Customer must confirm that they have read and accepted these GTS. This acceptance does not require a handwritten signature.
In accordance with Article 1127-1 of the French Civil Code, these GTS may be saved digitally or printed by any visitor to the Website.
Shemaïa reserves the right to amend these GTS at any time. The GTS applicable to any Order are those in force at the time the Order is placed.
2: Information regarding items
Information about the Items available for sale is provided on the Website. Descriptions relating to the characteristics of Items — including dimensions, materials, and finishes — are provided for informational purposes and may vary slightly from the finished product due to the handcrafted nature of the Items.
This information complies with Articles L.111-1 and L.111-2 of the French Consumer Code.
Despite the care taken in presenting Items on the Website, Shemaïa cannot guarantee that the appearance of Items on screen perfectly matches the physical product. Colours may vary depending on the technical specifications of the Customer's device. Shemaïa shall not be held liable for non-substantive visual discrepancies.
Shemaïa reserves the right to modify the selection of Items available for sale on the Website at any time, without prejudice to Orders already placed.
Only Items displaying an "Add to basket" button may be purchased on the Website.
For any questions about the Items, Customers may contact Shemaïa via the contact details provided on the Website.
3: Ordering procedures
3.1 Selecting Items
The Customer selects the Items they wish to purchase from those available on the Website. The Customer adds each selected Item to their basket by clicking "Add to basket" on the relevant product page. Where applicable, the Customer selects the desired size before adding the Item to the basket.
The basket does not constitute a binding Order.
Once the Customer has completed their selection, they must confirm the contents of the basket and proceed to place the Order. A summary page displays the selected Items, their prices, and shipping terms. The Customer must then choose a payment method.
3.2 Customer Details
To place an Order, the Customer must provide accurate personal and contact details, including their name, email address, billing address, and shipping address. No customer account is required to place an Order.
The Customer is responsible for ensuring that the information provided is accurate and complete. Shemaïa shall not be liable for any delay or failure of delivery resulting from inaccurate or incomplete information provided by the Customer.
3.3 Customer Confirmation of Orders
Before final confirmation, the Customer may review the details of their Order — including the total price and shipping method — and make corrections.
Payment is required for all Orders. Final confirmation is made by clicking the "Proceed to payment" button (or equivalent).
3.4 Shemaïa's Confirmation of Orders
Once the Customer has confirmed their Order, Shemaïa sends an acknowledgement of receipt by email.
An Order Confirmation email is sent only once payment has been confirmed. This email contains the Order number, the total amount (including shipping costs), a description of the Items purchased, and a copy of or link to these GTS. Only this Order Confirmation constitutes acceptance of the Order by Shemaïa and creates a binding sales contract.
The Customer is advised to keep a copy of the Order Confirmation. Shemaïa is not liable if the confirmation email is not received due to an incorrect email address or spam filtering. In such cases, the sale is deemed final unless Shemaïa cancels the Order due to unavailability, payment default, or suspected fraud. The Customer may in any event exercise their right of withdrawal as set out in Article 8 below.
In accordance with Article L.213-1 of the Consumer Code, for Orders of €120 or more, Shemaïa retains Order information for ten (10) years from the date of the Order Confirmation and shall provide it to the Customer upon request, accompanied by valid proof of identity, sent to contact@shemaiajewels.com.
3.5 Item Availability and Manufacturing Lead Times
All Items are manufactured to order upon receipt of a confirmed and paid Order. Shemaïa does not hold pre-made inventory. As a result, manufacturing and delivery lead times may vary depending on the volume of orders received at any given time.
An estimated lead time will be indicated on the Website and/or communicated to the Customer at the time of the Order. This estimate is provided in good faith but is not guaranteed. If the estimated lead time changes significantly after the Order is placed, Shemaïa will inform the Customer as soon as possible by email. The Customer may then choose to maintain the Order or cancel it for a full refund.
Notwithstanding the above, in accordance with the French Consumer Code, Items will be delivered no later than thirty (30) days from the date of the Order unless a longer delivery period has been expressly agreed with the Customer at the time of the Order. If Shemaïa is unable to meet the agreed or statutory delivery deadline, the Customer may cancel the Order and obtain a full refund in accordance with Articles L.216-2 and L.216-3 of the Consumer Code.
In the event that an Order cannot be fulfilled for any reason (including the unavailability of materials), the Customer will be informed by email as soon as possible and a full refund will be issued within fourteen (14) days of the cancellation.
3.6 Order Refusals
Purchases on the Website are reserved for retail consumers for personal use or as gifts. In accordance with Article L.121-11 of the Consumer Code, Shemaïa reserves the right to refuse or cancel any Order that appears irregular. Shemaïa also reserves the right to suspend or cancel any Order in the event of payment default, suspected fraud, or any other breach by the Customer.
4: Prices
Prices displayed on the Website are expressed in euros and include all applicable French taxes.
For shipments within the European Union: Prices are inclusive of VAT. The applicable VAT rate will be calculated based on the Customer's delivery country at the time of shipment. If a change in the applicable VAT rate occurs between the date of the Order and the date of shipment, Shemaïa may contact the Customer to reconfirm the Order.
For shipments outside the European Union (United Kingdom, Switzerland, Monaco, United States, Canada, Brazil, Israel, Australia): Prices displayed on the Website are exclusive of any customs duties, import taxes, or other charges that may be levied by the destination country. Such duties and taxes are the sole responsibility of the Customer and are payable upon delivery or importation. Shemaïa has no control over these charges and cannot predict their amount. Customers are advised to contact their local customs authority for further information before placing an Order.
Shipping costs are not included in the displayed prices unless expressly stated. They are indicated to the Customer before confirmation of the Order. Shemaïa may modify prices and shipping costs at any time; the prices applicable are those in force at the time the Order is placed.
If Shemaïa identifies a pricing error affecting an Order, the Customer will be informed promptly. Shemaïa reserves the right to cancel the Order in such cases. If payment has already been received, the Customer will be refunded in full.
5: Payment terms
5.1 Payment Methods
Payment is processed through Shopify Payments and the payment methods available through that platform, which may include credit and debit cards (Visa, Mastercard, American Express), Apple Pay, Google Pay, Shop Pay, and PayPal. The available payment methods are displayed to the Customer at checkout and may vary by country.
The Customer declares that they are authorised to use the chosen payment method and that the information provided is accurate. By placing an Order, the Customer authorises Shemaïa and its payment processor to charge the applicable amount.
Payment is collected at the time of the Order unless otherwise indicated at checkout. In the event that payment cannot be processed for any reason, the Order will be cancelled.
5.2 Payment Security
All payment transactions are processed securely through Shopify's payment infrastructure, which uses industry-standard encryption and complies with the Payment Card Industry Data Security Standard (PCI DSS). Shemaïa does not store or have access to the Customer's full payment card details.
6: Compliance with regulatory standards
Gold: Shemaïa's gold Items are made from 750/1000 (18-carat) white gold.
Gemstones: Where Items contain gemstones, Shemaïa sources them from legitimate, conflict-free sources in compliance with applicable international standards and regulations. Based on its knowledge and written guarantees from its suppliers, Shemaïa confirms that its gemstones are not sourced from conflict zones.
7: Shipping and delivery
7.1 General
Items are shipped to the address provided by the Customer at the time of the Order. Shipments can only be made within the Shipping Region. No shipments can be made to hotels, forwarding agencies, post office boxes, or similar addresses.
Items are shipped only after full payment of the Order has been received.
Shipping methods and costs are indicated on the Website and on the Order summary page before the Customer confirms the Order.
In accordance with the French Consumer Code, Items will be delivered within the time indicated at the time of the Order or, where a longer period has been expressly agreed with the Customer, within that agreed period. In the absence of any agreed timeframe, delivery shall occur no later than thirty (30) days from the date of the Order, provided full payment has been received.
7.2 Delivery
Items are delivered by Shemaïa's chosen carrier. Each Order is assigned a tracking number, which the Customer can access via their account on the Website or via the shipment notification email.
Estimated delivery times vary by destination and are provided for information only. Shemaïa shall not be liable for delays caused by the carrier, customs processing, or circumstances beyond its control.
No deliveries are made on Saturdays, Sundays, or public holidays (as observed in the delivery country).
If the Customer is absent at the time of delivery, the carrier will follow its standard redelivery or collection point procedure. If the parcel cannot be delivered after the carrier's standard attempts, it will be returned to Shemaïa and the Order may be cancelled.
Risk of loss or damage passes to the Customer upon delivery.
7.3 Customs and Import Duties (Non-EU Shipments)
For deliveries outside the European Union, the Customer is the importer of record. All customs duties, import taxes, brokerage fees, and any other charges are the responsibility of the Customer. Shemaïa is not responsible for delays caused by customs clearance.
7.4 Defects and Damage
Shemaïa recommends that the Customer inspects the Items upon delivery and notes any defects or damage on the delivery slip. If the Items are defective or damaged, the Customer may exercise their rights as set out in Articles 8 and 9 below.
8: Right of withdrawal
8.1 EU and UK Customers
In accordance with Article L.221-18 of the French Consumer Code (and equivalent provisions under UK consumer law), Customers residing in the EU or the United Kingdom have the right to withdraw from their purchase without giving a reason within fourteen (14) days of receiving the Item.
To exercise this right, the Customer must notify Shemaïa of their decision by sending a clear statement (for example, by email to contact@shemaiajewels.com) or by using the withdrawal form appended to these GTS.
Shemaïa will acknowledge receipt of the withdrawal request by email.
The Customer must return the Item within fourteen (14) days of notifying Shemaïa of their withdrawal. Return shipping costs are free. Shemaïa or its carrier will contact the Customer to arrange collection or provide return instructions.
Items must be returned in their original condition and packaging, including all accessories, certificates, and documentation. Items that are returned incomplete, damaged, worn, or showing signs of use will not be accepted for refund and will be returned to the Customer.
Shemaïa will issue a refund within fourteen (14) days of receiving the returned Item (or proof of shipment), using the same payment method originally used by the Customer. If Shemaïa fails to refund within the statutory period, the penalties provided under French law shall apply (10% surcharge up to 30 days late, 20% up to 60 days, 50% thereafter).
8.2 Swiss, Monégasque, US, Canadian, Brazilian, Israeli, and Australian Customers
Customers residing outside the EU and the UK do not benefit from the statutory right of withdrawal described above. However, Shemaïa voluntarily extends a 14-day return policy to all Customers, under the same conditions set out in Article 8.1. This voluntary policy does not limit any mandatory consumer rights that may apply under the Customer's local law.
8.3 Exclusions
In accordance with Article L.221-28 of the Consumer Code, the right of withdrawal does not apply to goods made to the Customer's specifications or clearly personalised.
8.4 Gifts
If the Item was a gift, the right of withdrawal may only be exercised by the Customer who placed the Order, not by the gift recipient.
9: Legal warranties
9.1 Legal Compliance Warranty (EU/UK Customers)
In accordance with Articles L.217-4 and following of the French Consumer Code, Shemaïa is liable for any defect of conformity existing at the time of delivery. The Customer has two (2) years from the date of delivery to bring a claim. The Customer may choose to have the Item repaired or replaced, subject to the cost conditions set out in Article L.217-9 of the Consumer Code. If neither repair nor replacement is possible, the Customer is entitled to a full or partial refund.
9.2 Hidden Defects Warranty
In accordance with Articles 1641 and following of the French Civil Code, Shemaïa is liable for hidden defects that render the Item unfit for its intended use or significantly impair that use. The Customer must bring a claim within two (2) years of discovering the defect. The Customer may choose to return the Item for a full refund or to keep the Item and receive a partial refund.
9.3 Warranty Exclusions
The warranties above do not cover: visible defects noted at the time of delivery, damage caused by the Customer's misuse or negligence, damage caused in transit (which should be reported under Article 7.4), or Items that have been modified or repaired by a third party.
9.4 Non-EU/UK Customers
Customers residing outside the EU and the UK may benefit from mandatory consumer guarantees under the laws of their country of residence (for example, the Australian Consumer Law or applicable US state consumer protection statutes). Nothing in these GTS is intended to exclude or limit such mandatory rights.
9.5 Claims Procedure
To make a claim under any warranty, the Customer should contact Shemaïa at contact@shemaiajewels.com with their Order number and a description of the defect. Shemaïa will provide return instructions.
10: Personal data protection
10.1 Data Controller
The Name SAS, trading as Shemaïa, 60 Rue François Ier, 75008 Paris, France, is the data controller for the personal data collected through the Website.
10.2 Data Collected and Purposes
Shemaïa collects the following personal data in connection with Orders: name, email address, postal address (billing and shipping), telephone number, and payment information (processed by Shopify Payments — Shemaïa does not store full payment card details).
This data is processed for the following purposes: processing and fulfilling Orders, issuing invoices, communicating with the Customer about their Order (including delivery updates), complying with legal obligations (including accounting and tax requirements), and fraud prevention.
10.3 Legal Basis for Processing
The processing of personal data is based on: performance of the contract (for Order fulfilment), compliance with a legal obligation (for tax and accounting records), and Shemaïa's legitimate interests (for fraud prevention and improvement of services).
If Shemaïa wishes to process data for marketing purposes (such as newsletters), this will be based on the Customer's prior consent, which may be withdrawn at any time.
10.4 Data Recipients
Personal data may be shared with: Shemaïa's payment processor (Shopify Payments), shipping carriers, and any other service providers involved in Order fulfilment and website operation. Data is shared only to the extent necessary for the relevant purpose. Shemaïa's Items are manufactured by partners located within the European Union; however, personal customer data is not shared with manufacturing partners.
For shipments outside the EU, personal data (including the Customer's name and shipping address) will be transferred to carriers and, where required, customs authorities in the destination country. These transfers are necessary for the performance of the contract.
10.5 Data Retention
Personal data relating to Orders is retained for the duration of the commercial relationship and for a period of ten (10) years following the Order, as required by French commercial law. Data processed for marketing purposes is retained until consent is withdrawn.
10.6 Customer Rights
In accordance with the EU General Data Protection Regulation (Regulation 2016/679) and the French Loi Informatique et Libertés, Customers have the right to: access their personal data, rectify inaccurate data, request erasure of their data (subject to legal retention obligations), restrict processing, object to processing based on legitimate interests, and receive their data in a portable format.
To exercise any of these rights, the Customer may contact Shemaïa at contact@shemaiajewels.com. Shemaïa will respond within one (1) month. If the Customer considers that their rights have not been respected, they may lodge a complaint with the CNIL (Commission Nationale de l'Informatique et des Libertés), 3 Place de Fontenoy, TSA 80715, 75334 Paris Cedex 07, www.cnil.fr.
10.7 Cookies
The Website uses cookies. For full information on the cookies used and how to manage preferences, please refer to the Cookie Policy accessible on the Website.
11: Retention of ownership
Shemaïa retains full ownership of Items sold until complete payment has been received, including the retail price, taxes, and any shipping costs.
12: Intellectual property
The brand "Shemaïa" and all trademarks, logos, illustrations, images, and designs appearing on Shemaïa's Items, accessories, packaging, or Website are and remain the sole property of The Name SAS. Any reproduction, modification, or use of these elements, in whole or in part, without Shemaïa's prior written consent is strictly prohibited.
The Website content (including text, images, and design) is protected by copyright. Any reproduction, downloading, or transmission of Website content for other than personal, private, and non-commercial use is prohibited.
No hyperlinks to the Website may be created without Shemaïa's prior written authorisation.
13: Force majeure
Shemaïa's obligations under these GTS shall be suspended in the event of force majeure as defined in Article 1218 of the French Civil Code. Shemaïa shall inform the Customer within eight (8) days of the occurrence of such an event.
14: Liability
Shemaïa shall not be held liable for any direct or indirect damages resulting from: the use of or inability to access the Website, data loss or corruption, viruses or other harmful elements, or any technical issues affecting the Customer's device.
Shemaïa does not guarantee the uninterrupted availability of the Website.
15: Applicable law and dispute resolution
These GTS are governed by and interpreted in accordance with French law.
EU Customers: In accordance with EU Regulation No. 524/2013, EU Customers may use the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. Any consumer dispute may also be referred for mediation to the CMAP (Centre de Médiation et d'Arbitrage de Paris). To submit a request, the Customer may: (i) complete the form at https://www.cmap.fr in the "Consumer" section, (ii) write to CMAP Médiation Consommation, 39 avenue Franklin D. Roosevelt, 75008 Paris, or (iii) email consommation@cmap.fr. The request should include the Customer's contact details, Shemaïa's details, a summary of the dispute, and evidence that the matter has first been raised with Shemaïa directly. The Customer is free to accept or refuse mediation, and both parties are free to accept or refuse the mediator's proposed solution.
UK Customers: UK Customers may have access to alternative dispute resolution procedures under UK consumer law. Shemaïa will cooperate with any applicable ADR process.
Swiss, Monégasque, US, Canadian, Brazilian, Israeli, and Australian Customers: These GTS are governed by French law. However, nothing in these GTS excludes or limits any mandatory consumer rights provided by the laws of the Customer's country of residence.
If no amicable resolution is reached, disputes shall be referred to the competent French courts, except where mandatory provisions of the Customer's local law require otherwise.
16: Miscellaneous
The failure of either party to enforce any provision of these GTS shall not constitute a waiver of that provision.
If any provision of these GTS is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
